  1. END USER LICENSE AGREEMENT
  2.  
  3. CAREFULLY READ THE FOLLOWING LICENSE AGREEMENT. BY OPENING THE
  4. PACKAGE OR CLICKING ON THE "ACCEPT" BUTTON, YOU ARE CONSENTING TO
  5. BE BOUND BY AND ARE BECOMING A PARTY TO THIS AGREEMENT. IF YOU DO
  6. NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, CLICK THE "DO
  7. NOT ACCEPT" BUTTON, AND, IF APPLICABLE, RETURN THIS PRODUCT TO
  8. THE PLACE OF PURCHASE FOR A FULL REFUND.

  10. LICENSE GRANT
  11.  
  12. The package contains software ("Software") and related
  13. explanatory written materials ("Documentation"). "Software"
  14. includes any upgrades, modified versions, updates, additions and
  15. copies of the Software. "You" means the person or company who is
  16. being licensed to use the Software or Documentation. "We" and
  17. "us" means VPrime, Inc.
  18.  
  19. We hereby grant you a nonexclusive license to use one copy of the
  20. Software on any single computer, provided the Software is in use
  21. on no more than two computers at any time. The Software is "in
  22. use" on a computer when it is loaded into temporary memory (RAM)
  23. or installed into the permanent memory of a computer--for
  24. example, a hard disk, CD-ROM or other storage device. 
  25.  
  26. TITLE
  27.  
  28. We remain the owner of all right, title and interest in the
  29. Software and Documentation. 
  30.  
  31. ARCHIVAL OR BACKUP COPIES
  32.  
  33. You may either:
  34.  
  35. - make one copy of the Software solely for backup or archival
  36. purposes, or
  37.  
  38. - transfer the Software to a single hard disk, provided you keep
  39. the original solely for backup or
  40. archival purposes.
  41.  
  42. THINGS YOU MAY NOT DO
  43.  
  44. The Software and Documentation are protected by United States
  45. copyright laws and international treaties. You must treat the
  46. Software and Documentation like any other copyrighted
  47. material--for example a book. You may not:
  48.  
  49. - copy the Documentation,
  50. - copy the Software except to make archival or backup copies as
  51. provided above,
  52. - modify or adapt the Software or merge it into another program,
  53. - reverse engineer, disassemble, decompile or make any attempt to
  54. discover the source code of
  55. the Software,
  56. - Place the Software onto a server so that it is accessible via a
  57. pubic network such as the Internet,
  58. or
  59. - sublicense, rent, lease or lend any portion of the Software or
  60. Documentation.
  61.  
  62. TRANSFERS
  63.  
  64. You may transfer all your rights to use the Software and
  65. Documentation to another person or legal entity provided you
  66. transfer this Agreement, the Software and Documentation,
  67. including all copies, update and prior versions to such person or
  68. entity and that you retain no copies, including copies stored on
  69. computer.  You must also notify VPrime, Inc. of the details of
  70. the transfer, including, but not limited to, identifying
  71. information for you, the transferee, and the Software. 
  72. Contact us for further details at the time of transfer.
  73.  
  74. LIMITED WARRANTY
  75.  
  76. We warrant that for a period of 60 days after delivery of this
  77. copy of the Software to you:
  78.  
  79. - the physical media on which this copy of the Software is
  80. distributed will be free from defects in materials and
  81. workmanship under normal use, and
  82. - the Software will perform in substantial accordance with the
  83. Documentation.
  84.  
  85. To the extent permitted by applicable law, THE FOREGOING LIMITED
  86. WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES OR CONDITIONS,
  87. EXPRESS OR IMPLIED, AND WE DISCLAIM ANY AND ALL IMPLIED
  88. WARRANTIES OR CONDITIONS, INCLUDING ANY IMPLIED WARRANTY OF
  89. TITLE, NONINFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A
  90. PARTICULAR PURPOSE, regardless of whether we know or had reason
  91. to know of your particular needs. No employee, agent, dealer or
  92. distributor of ours is authorized to modify this limited
  93. warranty, nor to make any additional warranties.
  94.  
  95. SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO
  96. THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. THIS WARRANTY GIVES YOU
  97. SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH
  98. VARY FROM STATE TO STATE.
  99.  
  100. LIMITED REMEDY
  101.  
  102. Our entire liability and your exclusive remedy shall be:
  103.  
  104. - the replacement of any diskette(s) or other media not meeting
  105. our Limited Warranty which is returned to us or to an authorized
  106. Dealer or Distributor with a copy of your receipt, or
  107. - If we or an authorized Dealer or Distributor are unable to
  108. deliver a replacement diskette(s) or other media that is free of
  109. defects in materials or workmanship, you may terminate this
  110. Agreement by returning the Software and Documentation and your
  111. money will be refunded.
  112.  
  113. IN NO EVENT WILL WE BE LIABLE TO YOU FOR ANY DAMAGES, INCLUDING
  114. ANY LOST PROFITS, LOST SAVINGS, OR OTHER INCIDENTAL OR
  115. CONSEQUENTIAL DAMAGES ARISING FROM THE USE OR THE INABILITY TO
  116. USE THE SOFTWARE (EVEN IF WE OR AN AUTHORIZED DEALER OR
  117. DISTRIBUTOR HAS BEEN ADVISED OF THE POSSIBILITY OF THESE
  118. DAMAGES0, OR FOR ANY CLAIM BY ANY OTHER PARTY.

  120. SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY
  121. FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION
  122. MAY NOT APPLY TO YOU.
  123.  
  124. TERM AND TERMINATION
  125.  
  126. This license agreement takes effect upon your use of the software
  127. and remains effective until terminated. You may terminate it at
  128. any time by destroying all copies of the Software and
  129. Documentation in your possession. It will also automatically
  130. terminate if you fail to comply with any term or condition of
  131. this license agreement. You agree on termination of this license
  132. to either return to us or destroy all copies of the Software and
  133. Documentation in your possession.
  134.  
  135. CONFIDENTIALITY
  136.  
  137. The Software contains trade secrets and proprietary know-how that
  138. belong to us and it is being made available to you in strict
  139. confidence. ANY USE OR DISCLOSURE OF THE SOFTWARE,
  140. OR OF ITS ALGORITHMS, PROTOCALS OR INTERFACES, OTHER THAN IN
  141. STRICT ACCORDANCE WITH THIS LICENSE AGREEMENT, MAY BE ACTIONABLE
  142. AS A VIOLATION OF OUR TRADE SECRET RIGHTS.
  143.  
  144. GENERAL PROVISIONS
  145.  
  146. 1. This written license agreement is the exclusive agreement
  147. between you and us concerning the Software and Documentation and
  148. supersedes any and all prior oral or written agreements,
  149. negotiations or other dealings between us concerning the
  150. Software.
  151.  
  152. 2. This license agreement may be modified only by a writing
  153. signed by you and us.
  154.  
  155. 3. In the event of litigation between you and us concerning the
  156. Software or Documentation, the prevailing party in the litigation
  157. will be entitled to recover attorney fees and expenses from the
  158. other party.  Any litigation must be brought in the Court of
  159. Common Pleas of Delaware County, Pennsylvania, and in no other
  160. Court.  All parties agree that said Court shall have sole and
  161. exclusive jurisdiction over any such litigation and/or the
  162. parties thereto, and Delaware County, Pennsylvania shall be the
  163. sole and only venue for such litigation.
  164.  
  165. 4. This license agreement is governed by the laws of the
  166. Commonwealth of Pennsylvania.
  167.  
  168. 5. You agree that the Software will not be shipped, transferred
  169. or exported into any country or used in any manner prohibited by
  170. the United States Export Administration Act or any other
  171. export laws, restrictions or regulations.
